TERMS OF USE AND CONDITIONS OF SERVICE

IMPORTANT — PLEASE READ CAREFULLY: By accessing or using any application operated by Mushin Hub, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Parties and Acceptance

These Terms of Use and Conditions of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Mushin Hub ("we," "us," "our"), governing your use of the following web applications (collectively, "Services" or "Applications"):

By clicking 'I Agree,' accessing, or using any of the above Applications, you: (a) confirm you have read and understood these Terms; (b) represent you have the legal capacity to enter into a binding agreement; and (c) agree to be bound by these Terms and our Privacy Policy (incorporated herein by reference).

## 2. Eligibility

### 2.1 You must be at least 13 years of age to use our Services. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

### 2.2 If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

### 2.3 Our Services are not directed to children under 13. If we become aware that a child under 13 has provided personal information, we will delete it immediately. Parents who believe their child has submitted data should contact us at legal@mushinhub.com.

## 3. Description of Services

### 3.1 Mushin Hub Boxing

A real-time AI-assisted training aid that uses your device camera to analyze body movement, provide feedback on boxing technique, and deliver audio coaching cues. THIS APPLICATION IS NOT A SUBSTITUTE FOR IN-PERSON COACHING, PROFESSIONAL INSTRUCTION, OR MEDICAL SUPERVISION.

### 3.2 Mushin Hub Acting

An AI-powered scene-work and Meisner-technique training partner that engages in interactive dialogue. The Application provides AI-generated feedback on performance practice. It does not constitute professional acting instruction or therapy.

### 3.3 Mushin Hub Physical Therapy

An AI-assisted tool that uses your device camera to measure joint angles and range-of-motion metrics for self-tracking purposes. THIS APPLICATION IS NOT A MEDICAL DEVICE, DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT, AND IS NOT A SUBSTITUTE FOR LICENSED PHYSICAL THERAPIST OR PHYSICIAN CARE. See Section 10 (Health and Safety Disclaimer) for mandatory disclosures.

### 3.4 Mushin Hub Memorization

A memory-training application that uses audio cues and structured repetition techniques to help users practice memorizing text passages. No camera is required.

### 3.5 Mushin Hub Between The Lines

An AI-powered analysis tool that accepts uploaded screenshots of text conversations and provides interpretive commentary on potential underlying intentions or emotional subtext. See Section 9 (User-Submitted Content) for obligations and restrictions.

## 4. License Grant and Restrictions

### 4.1 License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable, worldwide license to access and use the Services for your personal, non-commercial purposes.

### 4.2 Restrictions. You agree NOT to:

## 5. Camera, Microphone, and Device Media Access

### 5.1 Permission. Certain Applications (Boxing, Acting, Physical Therapy) require access to your device camera and/or microphone. By granting such permissions, you authorize us to process the resulting audio and video stream solely for the purpose of delivering real-time AI analysis within your active session.

### 5.2 No Persistent Recording. We do not record, store, transmit to our servers, or retain any raw camera feed or audio input beyond your active session unless explicitly disclosed and consented to for a specific feature.

### 5.3 Biometric Data Notice. In jurisdictions that classify body movement data, facial geometry, or voiceprints as biometric information (including but not limited to Illinois (BIPA), Texas (CUBI), Washington, and the European Union), you acknowledge that: (a) you are voluntarily providing such data; (b) you have been informed of the purpose and duration of collection; (c) data processed locally on your device is not transmitted to our servers; and (d) you may withdraw consent at any time by revoking camera/microphone permissions in your device settings.

### 5.4 Children. We do not knowingly collect biometric data from children under 13.

## 6. User Accounts and Authentication

### 6.1 Where account registration is available, you are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

### 6.2 You agree to notify us immediately at legal@mushinhub.com of any unauthorized use of your account.

### 6.3 We reserve the right to terminate accounts that violate these Terms.

## 7. Payments, Subscriptions, and Refunds

### 7.1 Free Tier. Certain features of the Services are provided free of charge.

### 7.2 Paid Features. If you purchase a subscription or premium feature, your purchase will be processed through our designated payment processor (Stripe or RevenueCat). By completing a purchase you agree to the applicable processor's terms of service.

### 7.3 Pricing. All prices are displayed in US dollars unless otherwise specified. We reserve the right to change prices upon reasonable notice.

### 7.4 Refund Policy. All purchases are final unless required otherwise under applicable consumer protection law. For subscription-based plans, you may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods.

### 7.5 Taxes. You are responsible for any applicable taxes on your purchase.

## 8. AI-Generated Content

### 8.1 Nature of AI Output. Our Applications use artificial intelligence (including but not limited to Google Gemini and similar large language or computer vision models) to generate feedback, analysis, and coaching cues. AI output is probabilistic and may contain errors, inaccuracies, or omissions.

### 8.2 No Reliance. You agree not to rely solely on AI-generated output for any decision affecting your physical health, safety, medical condition, financial situation, legal position, or any other consequential matter.

### 8.3 No Professional Relationship. Use of the Services does not create any professional relationship (physician-patient, coach-athlete, therapist-client, or otherwise) between you and us.

## 9. User-Submitted Content

### 9.1 Between The Lines. When you upload a screenshot or text content to the Mushin Hub Between The Lines Application, you represent and warrant that: (a) you own or have all necessary rights and consents to submit such content; (b) submitting the content does not violate any applicable privacy law, wiretapping statute, or the rights of any third party; and (c) you are not submitting content obtained through unauthorized interception of electronic communications.

### 9.2 License to Process. By submitting content, you grant us a limited, transient license to process such content solely for the purpose of generating the requested AI analysis within your session. We do not store your submitted screenshots beyond session completion.

### 9.3 Prohibited Submissions. You agree not to submit content that: (a) constitutes private communications of third parties obtained without their consent; (b) is illegal, defamatory, harassing, or harmful; or (c) contains personally identifiable information of minors.

### 9.4 Responsibility. You bear sole responsibility for the content you submit and any consequences arising from its submission.

## 10. Health and Physical Safety Disclaimer

THE FOLLOWING DISCLAIMER APPLIES TO MUSHIN HUB BOXING AND MUSHIN HUB PHYSICAL THERAPY IN PARTICULAR, AND TO ALL APPLICATIONS GENERALLY.

10.1 Not a Medical Device. Mushin Hub Physical Therapy is a general-wellness and self-tracking tool. It is NOT a FDA-cleared or CE-marked medical device. Joint-angle measurements and range-of-motion data produced by the Application are approximations derived from camera-based pose estimation and are NOT clinically validated measurements.

### 10.2 Not Medical Advice. Nothing within any Application constitutes medical advice, diagnosis, prognosis, or treatment recommendations. Always consult a licensed physician or physical therapist before beginning any rehabilitation program.

### 10.3 Physical Activity Risk. Physical exercise, including boxing training, carries inherent risk of injury. By using Mushin Hub Boxing, you acknowledge these risks and agree that you are voluntarily participating in physical activity.

### 10.4 Physician Clearance. You represent that you have consulted a physician and received clearance for any exercise program you undertake while using the Services. Do not use the Applications if you have been advised by a medical professional to avoid physical activity.

### 10.5 Emergency. The Applications cannot detect medical emergencies. If you experience chest pain, difficulty breathing, severe pain, dizziness, or any emergency condition, stop immediately and contact emergency services (911 in the US or your local equivalent).

### 10.6 Assumption of Risk. To the fullest extent permitted by law, you voluntarily assume all risks of physical injury or health complications arising from your use of the Services.

## 11. Intellectual Property

### 11.1 Our IP. All software, UI design, AI models, logos, trade names, trademarks, and content within the Services (excluding User-Submitted Content) are owned by or licensed to us and are protected by copyright, trademark, patent, and other intellectual property laws.

### 11.2 Feedback. If you provide suggestions or feedback about the Services, you grant us a royalty-free, perpetual, irrevocable license to use and incorporate such feedback without compensation to you.

### 11.3 DMCA. If you believe content on our Services infringes your copyright, please send a DMCA notice to legal@mushinhub.com.

## 12. Third-Party Services and Links

### 12.1 Our Applications integrate or operate on infrastructure from third-party providers including Vercel (hosting), Google Gemini API (AI), Supabase (database), RevenueCat/Stripe (payments), and Microsoft Clarity (analytics). Your use of such services is also subject to those providers' respective terms and privacy policies.

### 12.2 We are not responsible for the availability, accuracy, or content of third-party services.

## 13. Privacy

Your use of the Services is governed by our Privacy Policy, available at https://mushinhub.com/privacy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

## 14. Disclaimers of Warranty

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS; (C) WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED CONTENT.

## 15. Limitation of Liability

### 15.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR PHYSICAL INJURY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

### 15.2 OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) USD $100.

### 15.3 Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the minimum extent permitted by law.

## 16. Indemnification

You agree to indemnify, defend, and hold harmless us and our officers, employees, agents, successors, and assigns from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your User-Submitted Content; (d) your violation of any third-party rights; or (e) your violation of any applicable law.

## 17. Dispute Resolution and Arbitration

### 17.1 Informal Resolution. Before initiating formal proceedings, you agree to contact us at legal@mushinhub.com and attempt to resolve any dispute informally for at least 30 days.

### 17.2 Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except as set forth in Section 17.4.

### 17.3 Class Action Waiver. YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. All claims must be brought in the parties' individual capacity, not as plaintiff or class member in any purported class or representative proceeding.

### 17.4 Exceptions. Either party may bring: (a) claims for injunctive or equitable relief related to IP infringement in any court of competent jurisdiction; (b) small claims court actions where eligible.

### 17.5 Arbitration Seat. The arbitration shall be conducted in English and seated in San Francisco, California, USA.

## 18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law principles. Subject to Section 17, you consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California for any litigation permitted under these Terms.

## 19. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by: (a) posting the updated Terms on our website with a new 'Last Updated' date; and/or (b) providing in-app notification. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must discontinue use immediately.

## 20. Termination

### 20.1 By You. You may stop using the Services at any time.

### 20.2 By Us. We may suspend or terminate your access to any or all Services at any time, with or without cause, with or without notice, effective immediately. Grounds include but are not limited to violation of these Terms, harmful conduct, or business cessation.

### 20.3 Effect. Upon termination, your license to use the Services terminates immediately. Sections 8, 10–12, 14–18 survive termination.

## 21. General Provisions

### 21.1 Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Services and supersede all prior agreements.

### 21.2 Severability. If any provision is found unenforceable, the remaining provisions remain in full force.

### 21.3 Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

### 21.4 Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights freely.

### 21.5 Force Majeure. We are not liable for failure to perform due to causes beyond our reasonable control.

### 21.6 Language. The authoritative version of these Terms is in English. Translations are provided for convenience only.
